Website terms of use

These Terms of Use describe conditions for accessing matterpack.io and related public MatterPack marketing pages operated by Passive Ventures, LLC, doing business as MatterPack. They do not create a MatterPack services engagement or replace a separately signed agreement.
Informational website only
The website provides general information about MatterPack's document-workflow services for law firms. Website content, demonstrations, estimates, examples, and fit assessments are informational only. They are not legal advice, do not create an attorney-client relationship, and are not a substitute for legal, compliance, security, or professional advice.
No services agreement through the website
Submitting a form, booking a call, sending a message, or receiving a demonstration does not require MatterPack to accept an engagement and does not create a services contract. Any implementation is governed only by a separately signed agreement describing scope, fees, responsibilities, data handling, acceptance, and other terms.
Human review and law-firm responsibility
MatterPack prepares documents and workflows for review. It does not practice law, make legal decisions, sign documents, submit filings, or replace attorney and staff review. A customer firm remains responsible for the accuracy, legal sufficiency, approval, signing, filing, and use of every document and for complying with its professional obligations.
Permitted use
You may use the public site for lawful business-evaluation purposes. You may not:
- interfere with the site's operation or security;
- attempt unauthorized access, automated scraping, or harmful testing;
- misrepresent your identity or authority;
- copy or use MatterPack content, branding, or demonstrations except as permitted by law; or
- submit confidential client information, malicious code, or unlawful content through public marketing channels.
Intellectual property
The site and its text, design, graphics, videos, demonstrations, trademarks, and other content are owned by or licensed to Passive Ventures, LLC and are protected by applicable law. No ownership rights are transferred through your use of the site.
Third-party services and links
The site may embed or link to services operated by Meta, Calendly, Bunny.net, and others. MatterPack does not control those services and is not responsible for their availability, content, security, or practices. Their own terms and policies apply.
No warranties
To the fullest extent permitted by law, the site is provided "as is" and "as available." Passive Ventures, LLC disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted operation, error-free content, a particular business result, or that any demonstration will match a future scoped implementation.
Limitation of liability
To the fullest extent permitted by law, Passive Ventures, LLC and its owners, personnel, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the public site. This limitation does not exclude liability that cannot lawfully be limited. Liability under a signed services agreement is governed by that agreement.
Changes and availability
We may change, suspend, or discontinue a public site feature and may update these terms. The effective date shown on a published version identifies that version. Whether an updated term binds a visitor depends on applicable law and adequate notice and acceptance.
Governing law
These website terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles, except where applicable law requires otherwise. This clause does not determine the governing law of a separate services agreement.
